Self-educated deal structure, reviewed and commented contracts, offering documents and disclosures, managed external counsels and internal conversations. - Listing compliance. Researched and self-educated listing rules (mainly HK listing rules), and managed outside counsels. Drafted or reviewed internal training materials and policies to respond to listing rule requirement. Reviewed various documentation, such as disclosures, ESOP plans, resolutions, and more. - Overseas regulatory compliance. As required during the group's expansion towards the SEA and other overseas market. Video streaming and live broadcasting business. Compliance with ad law, gamble law, consumer protection law, minor protection law, cross-border money exchange law, AML requirements, and more. Also dealt with establishing entities overseas. Managed external counsels and internal conversations.

Banking and finance team - Bank loan deals. Experience with both foreign and PRC banks. Specifically - contract drafting and negotiating, corporate resolution drafting, deal management, due diligence. Familiar with both APLMA templates (widely-accepted market standard templates for English language loan contracts) and PRC bank templates. - Compliance. Foreign exchange regulatory, with extensive research on SAFE regulations. Trade financing, cash pooling, cross-border funding. - Secondee in-house; others. Daily contract review (transport, warehouse, NDA), legal research (licensing, commercial deals), client KYC.
