As the former Chief Legal Officer & Corporate Secretary at BurgerFi International, Inc. (Nasdaq: BFI), with global experience leading Board members, C-suite executives and legal teams through complex strategic, transactional, governance, finance, and regulatory matters, I led the BurgerFi and Anthony's Coal Fired Pizza legal department in guiding the Company in all legal and compliance matters. Following the closing of the T-Mobile/Sprint merger, I joined Morrison & Foerster as Of Counsel, where my practice focused on debt and equity securities offerings, as well as advising companies on, among other things, mergers and acquisitions, corporate governance and securities items, and other compliance matters. As the Corporate Secretary and VP of Legal at Sprint, I regularly advised the Executive Team on corporate governance, securities, finance, and other complex legal matters, as well as and supporting the Board of Directors in discharging its fiduciary duties to stockholders. With each of Jones Day, Sprint and Morrison & Foerster, I’ve worked successfully in high-stress, fast-paced environments – where complex transactions and associated decisions must be made quickly. Advised company on disclosure and filing requirements pursuant to SEC/NYSE rules and regulations and served as lead in-house lawyer on all financing activities. Oversaw executive compensation and employee benefits matters and served as head of the Ethics & Compliance Department as the Deputy Ethics Officer. Managed a $9M budget and team of 8 direct/5 indirect members.
