Krystyna Sudol

As Senior Corporate Counsel, I provide strategic legal support and governance oversight across the company's European operations. My role spans multiple jurisdictions and combines hands-on legal work with board-level responsibilities. I provide legal counsel to European subsidiaries, particularly in the Netherlands, Poland and Romania, covering commercial contracts, compliance and regulatory initiatives as well as day-to-day legal queries. I lead all corporate governance and board-related matters for Kimball Electronics Netherlands B.V., where I also serve as a member of the Board of Directors.

- Management of corporate governance and corporate housekeeping for entire NL portfolio; Handling of complex corporate law related matters (including drafting and negotiating shareholders’ agreements); - Drafting of finance related agreements for internal debt (re)structuring, debt to equity conversion, third-party financing (including loan securities) and advising on structuring and clearing of inter-company balances; - Drafting and negotiation of transaction documentation for real estate sales (asset and share deals in NL) and investment transactions (globally); - Drafting, review and negotiation of a wide range of commercial agreements including (but not limited to): SPAs, LOIs, MOUs, Term Sheets, Brokerage Agreements, NDAs, various Service Agreements, Option Agreements, SAFEs, Warrants etc. - Setting up the legal framework for a startup accelerator program (ATechX), leading contract negotiations and contract optimization.

Legal support for procurement teams globally. Drafting, reviewing and negotiating procurement/commercial contracts. Managing legal matters in relations with suppliers. Updating and developing company’s contract templates.

Involved in variety of tasks related to corporate housekeeping and corporate governance of the legal entities being part of the global organization. Oversight of the organization structure, changes within boards of directors across subsidiaries, assistance with corporate legal documentation ( drafting, execution, notarization and legalization), preparation of the board- and shareholders’ meetings, database management (verification of data accuracy for approx. 300 entities), monitoring processes and ensuring their compliance with company's authority matrix, day-to-day support to subsidiaries on various corporate matters, document management and filing.

Daily management of company's administration, carrying out communication with clients and suppliers and preparation of offers, conducting market research within petrochemical industry, preparation of MOUs, communication with potential investors.

Legal research, preparation of court and administrative correspondence and other business documents, handling of matters related to e-commerce and functioning of the company’s website.
