• Assisting in advising clients in matters involving company and commercial litigations, consumer litigations, arbitrations, legal notices and also representing them before various courts in Bangalore and Delhi as well. • Assisting in drafting & negotiating term sheet, MOUs, definitive transaction agreements such as SPA, SHA and transitional service agreements for clients. • Assisting and researching in findings of due diligence as to whether there are any IPR issue, litigation risk, contingent liabilities, and so on. • Carrying out research and assisting in preparing organizational chart of target entity that includes financial statements, profit and loss statements, cash flow, income statement, tax returns and top customers of target entity. • Assisting in managing compliance post-closing stage of transaction such as filing and informing ROC in case there is a change in directors’ and shareholders’ rights and obligation, articles of association, board meetings and other important legal compliance under the Company Act.
