Focused on projects primarily involving LGFVs in China, with bond types including USD bonds, Dim Sum bonds, Free Trade Zone bonds, and Yulan bonds. Acted as the sole liaison with trustee clients such as CNCBI, CCBA, and CMBWLB. Main responsibilities include drafting, reviewing and negotiating terms and conditions of the bonds, deeds of guarantee, trust deeds, agency agreements, security agreements, security trust deeds, custody agreements, information memorandums, offering circulars, fee letters, as well as signing and closing memos; assisting in the bond settlement process to ensure smooth and efficient transactions; and advising on the listing of debt securities on exchanges such as the Singapore Exchange, Hong Kong Stock Exchange, and Chongwa (Macao) Financial Asset Co., Ltd.

Specialized in U.S. initial public offerings (IPOs) and follow-on offerings, with experience in a complete IPO process; drafted, reviewed, and negotiated registration statements, prospectuses, SEC and Nasdaq response letters, board resolutions, and legal opinions. Advised on compliance matters for U.S. public companies, particularly foreign private issuers.

Offshore debt securities offerings with Reg S offerings including representation of local SOEs; advised issuers and lead underwriters on Panda bond offerings by sovereigns and financial institutions on China’s interbank bond market.

Assisted the Board Office in daily communications with the National Financial Regulatory Administration Tianjin Bureau; organized past company charter amendments and co-drafted proposals for charter amendments; assisted the aviation financial leasing department in reviewing financial leasing documents. Conducted research on “Compliance Risks of Conducting Business with Special Purpose Vehicles,” focusing on anti-money laundering, anti-tax evasion, personal information protection, and economic sanctions. Provided advisory services to clients, published two academic papers, and contributed to the translation of Aircraft Leasing and Financing (print book).

Wrote a report on the meaning of “material Support or Resources” and “financial Support” under the Anti-Terrorism Act.

Carried out research on “immunity from execution of central bank assets”; international investment (TPP & TTIP); South China Sea dispute; and human rights affairs.
