- Investment, Financing, and M&A: Lead legal due diligence, design transaction and investment structures, draft and negotiate transaction documents including SAFT/SPA/SHA /warrants/VIE Agreements, assist in government approvals (including antitrust reviews), and oversee the transaction closing process. - Overseas Direct Investment and Acquisition: Draft, negotiate and revise transaction documents, coordinate due diligence by foreign lawyers, analyze the investment approval system and risks in the host country, assist in obtaining government approvals, and collaborate with agents to establish local companies. - Overseas Restructuring: Design, draft and negotiate restructuring documents such as restructuring plans and framework agreements. - General Corporate Counsel and Business Advisory: Establish domestic and international ESOP, enhance corporate governance structures, ensure the soundness of internal regulations, draft and review daily contracts, provide legal advice on labor and employment issues, and offer business operation and compliance advice. - Overseas Listing: Advise underwriters on establishing red chip structures and applications for listing on Hong Kong markets, and provide legal services for the filing procedures with CSRC regarding overseas offerings and listings by PRC domestic companies. - Fund: Advise on fund manager registration and deregistration, and fund liquidation. - Content Creation: Author insights with the highest readership reaching 5161, and coordinate the compilation of monthly reports.

Drafted, reviewed, or translated a total of 74 documents, including contracts in both Chinese and English, due diligence reports, legal opinions, legal updates and summaries of Cambodian law, MAA, and resolutions involving areas such as real estate leasing and sales, energy resources, aviation, infrastructure, and finance; Assisted lead attorneys in meeting with clients, participated in business negotiations, witnessed contract signings, responded to daily legal inquiries; Conducted legal research on topics such as the execution period of counter-guarantees and the conversion of performance guarantees under PRC law, and the potential legal implications for Cambodia's inclusion on the FATF gray list.
