- Playing the role as the key management personnel and leading a team of 4 to manage the full spectrum of the group’s legal operations worldwide, including Singapore, PRC, Malaysia, Vietnam, Philippines, Thailand, Poland, and US - Reviewing, drafting, negotiating, managing and rendering legal advice on the group’s contracts in relation to development and/or supply of goods and services, procurement, lease, corporate finance, banking facilities, employment, consultancy, engagement of service providers and other related legal documents - Supporting the Management in potential Merger & Acquisition projects worldwide and other ad hoc projects, including preparing, reviewing and negotiating various transaction documents (NDAs, SPA, subscription agreements, shareholders agreements, constitution etc.), managing external counsels, conducting research and background check, evaluating and highlighting legal risks and providing mitigating solutions - Supporting other functions in setting up new plants in Asia, including but not limited to construction, land lease, building lease, transfer of equipment, engagement and manage of external consultant and service providers - Investigating and engaging external counsel in relation to litigation or potential litigation matters, and advising and engaging in negotiation and settlement of claims and disputes - Preparing corporate documents e.g. board resolutions and announcements and liaising with the Board to obtaining approvals - Advising on legal and regulatory compliance, including SGX listing requirements (prior to privatisation) - Overseeing and attending to corporate affairs of all subsidiaries outside of China region - Updating and drafting internal policies, guidelines and procedures - Conducting legal/compliance trainings to the business units
