 Admin. Assist department head with management tasks: supervise staff, coordinate projects, and prepare management reports.  M&A. Advise on outbound M&A transactions, structure deals, lead and manage due diligence, draft and negotiate transaction documents, oversee external counsel, and prepare internal legal opinions.  Fund. Advise on fund formation and fund of fund investments: draft and review fund documentation and ensure regulatory compliance.  Debt. Advise on debt financings, including senior debt, mezzanine debt and convertible loans.

 M&A. Represented foreign and Chinese clients in M&A transactions: led due diligence, drafted and negotiated transaction documents, and handled ODI and antitrust filings for Chinese clients.  Foreign Investment. Advised multinational clients in greenfield projects in China: drafted JV contracts, shareholders’ agreements, articles of association and ancillary documents, advised on internal group restructuring and divestment.  FCPA. Conducted internal investigations and compliance due diligence, prepared DD reports and advised on compliance matters.

 PE/VC. Advised on domestic private equity investments and divestments, drafted and negotiated transaction documents, assisted with internal reorganization and listing related legal matters.  General Corporate Matters. Advised on commercial arbitration and litigation, managed employment related legal issues.

 Capital Market. Represented Chinese clients in HKEx IPOs: conducted due diligence and verification, prepared listing application documents, advised on offshore reorganization, and drafted prospectuses.  M&A. Advised clients on offshore private equity investment transactions.

 Corporate Finance (IPO/ M&A/ Reorganization). Represented clients in IPO, M&A and reorganizations, conducted due diligence, prepared reorganization plans, drafted transaction documents and prepared legal opinions.  Foreign Investment. Advised foreign investors on M&A and greenfield projects in China, structured transactions and drafted legal documents.  Banking. Advised foreign clients on purchasing non-performing assets from state-owned banks.
