Winnie Lee Fraser

Winnie Lee Fraser is Proskauer’s Global Finance Operational Head, where she partners with the Co-Heads of Global Finance and the Chief Operating Officer to drive strategic growth and operational excellence across the Firm’s market-leading Global Finance practices, including Private Credit, Leveraged Finance, Fund Finance, Structured Credit / CLOs, Capital Markets and Financial Restructuring / Special Sits. Winnie graduated from the Stanford University Graduate School of Business Executive Education program, The Emerging COO: Driving Innovation and Operational Excellence, and currently serves as a key member of Proskauer's Operational Committee.

Supported the General Counsel’s Office, the Chairman and the Managing Partner in overseeing the execution of key business priorities, strategic initiatives, and high-value legal operational matters. Responsibilities included the advancement and growth of the Firm by directing special projects, overseeing the Firm’s lateral partner recruiting program, and the establishment of a Resilience and Response function that leads crisis preparedness, business continuity planning, and the development of resilience frameworks for critical processes.

Managed all aspects of the corporate business unit that at the time consisted of 375+ attorneys across 10 offices, including with respect to strategy, operations, practice management, professional development and training, recruiting, resource management, evaluations, promotions, compensation, retention and morale.

Represented financial and strategic acquirors and sellers in M&A, joint venture, restructuring and recapitalization transactions. Advised on a wide range of general business law matters, including day-to-day contractual and corporate governance matters. Represented: Malkin Holdings in the consolidation of properties that included the Empire State Building, and the subsequent IPO of the consolidated company, Empire State Realty Trust Bowlmor AMF in its acquisition of the bowling center business from Brunswick Corporation Yonkers Racing Corporation in its joint venture with Alain Ducasse to open flagship restaurant in Empire City Casino Passlogix in its sale to Oracle InterContinental Hotels in in its acquisition of the Crowne Plaza Hotel in Times Square Kaplan in the sale of its compliance and training solutions business Discovery Communications in talent acquisition

Co-authored three articles published in the New York Law Journal including: "Death of a Shareholder" (January 7, 2004), "Another Look at the Warranty of Habitability" (March 3, 2004) and "Applying Sarbanes-Oxley" (November 5, 2004).

Recipient of Dean’s Merit Scholarship, Law Review Editor Scholarship (granted to top 5 editors) and Alumni Association Scholarship. Dean's List High Honors. Recipient of 2005 Daniel Finkelstein Commencement Award for Legal Writing. Commencement Speaker (selected by vote of student body).

Recipient of F.I.T. Presidential Honors Scholarship, Bergdorf Goodman Scholarship and United Federation of Teachers Scholarship (100% of tuition covered by scholarships).
