For IBM my services include US federal government FAR-based contract legal transactional advice as well as advice regarding other transaction authority-based contracts and Merger/Acquisition/Divestiture legal services. Specific tasks include reviewing and approving assignments and novations, and supporting M&A functions through the integration of new software and professional services assets into the IBM offerings. For BASF and Under Armour, my services included IP transactional and Merger/Acquisition/Divestiture legal services. As one of five publically elected executives on the board of directors, I share fiduciary responsibilities for the oversight and management of the largest independent water district in Texas with over $ 1 billion in operating assets. We also proudly oversee the Exploration Green Project recently reviewed by FEMA as "A Case Study in Effective Floodplain Management." See the uploaded report, "Exploration Green - A FEMA case study." Our board meets monthly for regular public meetings and sporadically throughout each month as needed to properly manage the Authority's affairs. The Authority was created on May 6, 1963, to provide, operate, and maintain waterworks systems, sanitary sewer systems, storm sewer systems, and drainage facilities to serve land within its 13,500-acre boundaries.

I specialize in all facets of intellectual property law. My practice focuses on patent preparation and prosecution, freedom to operate analyses, pre-litigation counseling, preparing invalidity and non-infringement opinions, and licensing in the electrical, mechanical, and computer science arts. I have experience in various technologies including: aerospace hardware and software design; oil field services hardware and software design; vessel mooring systems, seismic surveys; computer systems design (thermal design, RF bus design, and chip-level design); blockchain technologies; cloud computing and integration; the internet of things; artificial intelligence/machine learning; network technologies; data as an asset; software development, testing, and integration (including database definition and metadata manipulation, interface definition, voice recognition, digital audio and video subsystems (with unique switching and routing technologies to control digital network traffic)); S-Band, Ku/Ka-Band, and UHF RF communications subsystems; wireless local area networks; medical device equipment; and specialty locking devices. • Drafted, reviewed, and negotiated intellectual property agreements, including confidentiality agreements, non-disclosure agreements, consulting agreements, licensing agreements, SaaS agreements, and cloud agreements. Provided advice on implementing blockchain for secure records and transactions. • Managed oversight of several attorneys’ work to assure that patent preparation and prosecution met law firm standards. • Supported client Trademark protection actions • M&A due diligence work has included one major acquisition for which I performed reviews.

I am responsible for writing all commercial contracts and negotiating all commercial agreements between our company and outside entities including master services agreements, non-disclosure/non-compete/confidentiality agreements (NDAs), technology development agreements, Software-As-A-Service agreements, and employment/engagement agreements. I also oversee day-to-day business operations including custom software development, SaaS support, compliance, and marketing. Our team provides commercial software incorporating AI-enhanced automation solutions. Currently supporting the energy, real-estate, telephony, and insurance industries, our primary focus is on customer experience from initial contact through long term engagement. Our software solutions include custom CRMs; AI-supported telephony: Interactive voice response, tone detection, emotion, and sentiment detection, and public sentiment assessments from social media (prevent negative viral messages before they occur); workflow and marketing automation with efficient reporting; and automated billing.

I was a JSC In-House Counsel providing federal government procurement oversight and advice, providing export compliance advice, drafting research and development strategic partnerships, providing legal advice to JSC’s Information Technology (IT) Division, the JSC external relations office, and the JSC science directorate. I was also the lead counsel to the JSC center director and provided ethics counseling and advice to hundreds of employees each year. o In my last two years with NASA, I was responsible for legal oversight of five different FAR procurements with a combined total value over $300,000,000 for environmental services, construction, and engineering support services to NASA JSC. Previous Position: Agreements Manager, Engineering Directorate: • Engineering Directorate coordinator for all technology transfer and collaboration agreements. I was lead on the organization’s most challenging and time dependent agreements. • I was the liaison between the Engineering Directorate, NASA's legal department, NASA's financial office, and over 120 outside entities for all Space Act Agreements developed between NASA Johnson Space Center’s Engineering Directorate and the outside entities, many entities seeking technology improvements in their oil and gas and/or medical technologies. • In 2011 and 2012 alone I personally oversaw the creation, negotiation, execution, and administration of 25 separate agreements each year with a total value of over $14,000,000. In total, I consulted on agreements between NASA and nearly 200 entities. These agreements included cross licensing, facility sharing, data sharing and protection, patent rights, and all other intellectual property related rights associated with the joint ventures.

Prosecuted patent application technology areas have included software/database/metadata technologies, water and waste water purification, data and telemetry systems for improved operational process safety, petroleum and chemical processing, off-shore structures design, off-shore in-situ processing, sea floor in-situ processing, drilling tools, down hole plugs, well logging technologies, cryogenic pumping systems, and multi-dimensional seismic survey computer applications. Drafted, reviewed, and negotiated intellectual property agreements, including confidentiality agreements, non-disclosure agreements, consulting agreements, licensing agreements, SaaS agreements, and cloud agreements.

Manager/supervisor and experienced design, development, test and evaluation engineer with over 17 years experience in hardware and software development and integration. Tasks included: * Supervising the work of and responsibility for the performance of direct report engineers, including their work performance on the fielding and real-time troubleshooting of International Space Station communications and tracking hardware. * Negotiating with and collaborating with international counterparts from Russia, Italy, Germany, Canada, and Japan. * During my last four years, I managed sustaining engineering budgets and associated tasks valued at over $5 million dollars per year, completing all projects on time and within budget. Budget forecasts were consistently within less than 2% of actuals. * Design, development, test, evaluation, and integration of the digital audio and video subsystems; S-Band, Ku-Band and UHF RF communications subsystems; and wireless local area networks on the International Space Station (ISS). * Developing requirements for and designing various elements of the avionics control system for the International Space Station. * Developing the thermal control system supporting the ISS electrical power distribution systems. My design concepts and improvements were estimated to have saved the U.S. government over $110,000,000. * Performing hundreds of hours of testing on electronic black boxes and hardware/software interfaces. * Supervising multiple external support contractors managing a $9,000,000 per year budget and negotiating all contractual terms and conditions for the contracts.
