As General Counsel/Legal Director, I manage the legal framework for a diverse corporate group of around 22 entities worldwide, leading a focused legal team that partners with senior leadership to deliver business-driven solutions across financial regulation (BCB - CNBV), M&A, corporate governance, and complex commercial negotiations. My role as GC combines strategic oversight with practical execution, ensuring legal integrity, operational efficiency, and sustainable growth across the group’s local (BR) and international (US, CAY, GTM & MEX) operations.

Legal counsel on structuring, planning, and executing acquisitions, investments, equity combinations, partnerships, and corporate reorganizations. Also advise on payments, banking, and financial regulation, encompassing prudential and operational requirements under Basel standards, particularly those related to capital adequacy, liquidity management, and risk-weighted asset (RWA) calculations.

Experience with M&A, Corporate Law, and Banking & Finance matters, including the following: - Counsel to local banks, asset managers and advisors regarding regulation matters, including, but not limited to the drafting and analysis of reference forms, manuals and policies; - Counsel to international banks, asset managers and advisors regarding Brazilian regulations and the incorporation of their businesses and investments in Brazil and abroad; - Planning, structuring, negotiation and implementation of acquisitions and dispositions, investments, exchange or combination of equity interests or assets, organization of partnerships, joint ventures or strategic alliances, as well as any form of corporate restructuring; - Counsel on corporate, contractual and regulatory assistance for a broad range of clients, including banks, publicly-held companies, pension plans, asset managers and other corporations; and - Legal advice to international investors in connection with the incorporation and structuring of investments in Brazil and abroad.
