Provide advice on how proposed transactions should be structured to avoid legal problems and at the same time be the most favorable to Peabody’s interests; provide advice on proposed transactions, assisting in negotiations with representatives of other companies, and the creative drafting of complex and often unique legal documents; Draft, negotiate and document coal supply agreements, amendments and other legal supply/trading contracts; Draft, negotiate and document Master Coal & SO2 Trading Agreements, Parent Company Guaranty, and financial guaranty programs for various trading partners; Review policies and procedures on trading activities, trading forms, contracts, and confirmations; Provide support to risk management and contract administration; Provide balanced and objective advice and counsel on general corporate matters and contract disputes in order to promote compliance with laws and to avoid any problems arising thereunder, including litigation.
