Fund Administration and Controllership : Prepared Investor decks, handling end to end fund compliances for Cat II AIF (SEBI, Income Tax, FEMA, AML, IFSCA, SEZ in Gift city), Investor quarterly report, Negotiating fund documents with Fund LPs, Waterfall and Carry distribution, Quarterly statements, MIS and Budget. 2. Portfolio Management - Portfolio Construction at Fund Level Review of MIS of Portfolio Cos, Financial and Legal Due Diligence on Portfolio Companies, Advised on deals structuring (MSOP, externalized structure, Price reduction, etc.), Negotiated legal terms with the founders/ strategic investor (Exit related clause for investors, Founder specific clauses, etc.), Cap table structuring, Debt raise for portfolio companies, Managing multiple projects with strict timelines, etc.In my past role as a Manager in EY M&A Tax practice (International Tax and Transaction Services), I had the opportunity to advise and assist clients (listed company, Unicorns, HNIs/ Promoters, etc.) in corporate reorganizations, setting up Group Hold Co.
