Negotiated favorable terms with underwriters, bankers, and other stakeholders. Legal Opinions & Advisory Services: Provided expert legal opinions on various aspects of the IPO, including corporate governance, securities laws, and tax implications. Advised clients on strategies to optimize legal outcomes. IPO Process: Managed the entire IPO process, from initiation to completion, including coordinating with PCS, PEER Review Auditors and other professionals. IPO and Capital Markets: Lead the legal team in IPOs, mergers, and acquisitions, and provide advice on capital markets transactions. Led the legal team in executing a successful IPO for 4 Companies (20 under process), overseeing due diligence, document drafting. Other Legal Matters Provide sound legal counsel whenever needed Curate and review legal paperwork and documentation that protect and support the company's interests while adhering to corporate compliance laws. Collate all disputes related documents and information from businesses. Identify competent Advocates and brief them with all the facts and try to provide in –house closure of litigation related issues wherever possible. To draft/review all litigation related documents such as notices/reply, suits, Caveate, criminal complaints, Written statement/Reply, Trademark Applications, Oppositions, Renewal etc. Prepare/review the appropriate documents for trial or Court hearing, investigating agency, district consumer forum, district court, JMFC state/national commission, PF Commissioner/Labour Court/Sessions Court/High Court. Managing cases from commencement till end. gathering evidences. managing and maintaining record of the evidences. To draft/ vet NDA, MOU, various Agreements including Business Agreements, Service Agreements, Manpower Agreements, Revenue Share Agreements, Office Agreements like Facilitation Agreements, Leave and License, Lease Agreements. To draft notices/reply, Settlement memo, Termination notices, Engagement letter, covering letters, follow up notices. To draft/vet affidavits/Indemnity, Evidence, Pursis, Written arguments etc. Manage record of IP proceedings and trade marks. Coordinate with business and IP attorneys for smooth closure. Visit Police station, Municipal Corporation and other Government departments for lodging complaints/to procure permissions etc. Coordinate with Advocates on a day to day basis and personally attend crucial hearings. To liaison with business to understand core disputes concerning them. Manage litigation data and keep the business informed at all times. Help the business in reducing litigation cases. Represent the Company in complaints/litigation if required. Updating and consulting with Business/Seniors/VIL Corporate legal/Lawyers. Advising clients regarding various civil as well as criminal matters including 138 matter under NI Act, Summary Suits, recovery suits. Drafting/reviewing of Plaints, Notices, Replies, Agreement for Sale, Gift Deed , other legal drafts etc. Advise clients concerning advisability of prosecuting or defending lawsuits, or legal rights and obligations. Evaluate findings and develop strategies and arguments in preparation for presentation of cases. Analyze the probable outcomes of cases, using knowledge of legal precedents. Interviewing clients and providing them with expert legal advice.
