Mayank Prasad

Lead counsel for global AWS teams focused on innovation, supply chain, resiliency, and security of cloud technology. For example, we support AWS's engineering teams (compute, storage, edge, networking, power, cooling, etc.), global supply chain, infrastructure security, Center for Quantum Computing, and several customer facing products including Amazon Dedicated Cloud. I manage a team of attorneys and legal professionals supporting those business areas.

Represent private equity and public clients in a variety of industries. Experience includes the drafting and negotiation of merger agreements, purchase agreements, joint venture agreements, stockholders agreements, confidentiality agreements, services agreements and organizational documents. In third and fourth years, supervised junior associates and paralegals to draft ancillary documents, conduct diligence, populate schedules and coordinate closings.

Selected for temporary assignment at the Private Equity group of Apollo Global Management LLC during second year at Paul, Weiss. Assisted in daily legal operations, working directly with the general counsel of the Private Equity group, the business teams at Apollo and outside counsel. Responsible for drafting and negotiation of confidentiality agreements, vendor agreements, engagement letters and access letters.

Selected through highly competitive process to teach first year Legal Practice Skills courses at Penn Law under the close supervision of faculty.

Selected for externship with Chief Judge Solomon Oliver. Drafted bench memoranda, orders, and opinions under supervision of Chief Judge and his clerks. Conducted research on a wide variety of civil and criminal matters.

Researched legal issues, drafted memoranda, and wrote briefs on a variety of topics, including medical and legal malpractice, contract and tort law, and appellate advocacy.

Selected upon recommendation to teach college level courses at program for talented inner city children. Also took role as Resident Assistant programming events, handling discipline, and coordinating with teachers and counselors to provide support for gifted but challenging students.

Math teacher at one of the state’s most dangerous and underperforming schools. Raised class scores above district average, an extremely rare achievement. Founded program for outstanding 9th graders, planning additional lessons, activities, and field trips to provide motivation and enrichment.

Taught SAT, LSAT and GMAT classes. Qualified to teach by scoring in 99th percentile on each exam.
