Marshall Sonenshine

Marshall Sonenshine is Chairman and Managing Partner of Sonenshine Partners and its affiliates CMD Sonenshine (Chicago), Sonenshine Fulford Group (London), and Crosspoint Sonenshine (Japan). Mr. Sonenshine is also an adjunct Professor at Harvard Law School since 2015 teaching M&A and Advanced Corporate Transactions. He previously served from 2009-2015 as Professor of Finance and Economics at Columbia University teaching Private Equity and Turnaround Management. He has served a a frequent Global Finance Commentator on CNBC and Bloomberg Television and is author of numerous publications on financial, legal and public affairs including in The New York Times, Financial Times, CNN, Merrill Data Site, Columbia University Business School, Harvard Law Review, Harvard International Law Journal, and Institutional Investor. Mr. Sonenshine has counseled numerous major corporations worldwide including Alcoa, American Express, Blue Cross Blue Shield, Carlyle, Comcast, Conrail, Daimler Benz, Dun & Bradstreet, Essilor, GE, Hemanext, ING Group, Invesco, KKR, Lavazza, LensCrafters, Madison Dearborn, Marubeni, New York Times, Nippon Sanso, NTT, 1-800 Contacts, Ovation Networks, Penguin Random House, Prisa, Proquest, Macy, Ricoh, Scholastic, Societe Generale, Tata Sons, TNT Limited, Union Pacific, US Shoe Corporation, US West, Viacom, Walgreens, and Walt Disney. He has advised on numerous leading transactions including the $20 billion Disney/ABC merger, AIG/International Lease Finance Corporation, the $15 billion restructuring of GPA Group with General Electric, Sony/Columbia Pictures, Dassault Systemes/Simulia, EDS/Structural Dynamics, Walgreens/Drugstore.com, the hostile defense of The United States Shoe Corporation, the mergers creating Clear Channel Communications, the Philadelphia newspaper restructuring, and countless others.

Member of Partnership Committee that headed M&A. Served as Head of Mergers for Media and for Aerospace and Transportation. Led major deals including Clear Channel rollup and ultimate merger with Chancellor Media, reorganization of Thiokol with Carlyle Group, High Yield Offering for Iridium, special committee work for several public companies representation of KKR, Hicks Muse, InvestCorp and other major private equity forms. During this time the bank acquired Alex Brown so our mandate included oversight of global BT Alex Brown businesses. This later was expanded to include Deutsche Bank which asked Mr Sonenshine to serve as Co Head of Global M&A.

Continued major global Mergers and Restructuring and was youngest partner to Paul Volcker (former Chairman of US Federal Reserve) and James Wolfensohn (former Head of Banking at Salomon Brothers, later President of the World Bank). Also handled several mattes for London affiliate J Rothschild Wolfensohn & Co with Hon. Jacob Rothschild. Member of 10 person partnership that merged Wolfensohn into Bankers Trust for $210m, creating the partnership group that led the global M&A practice for the Bank.

Handled complex Mergers, Takeover Defense, Activist and Restructuring matters. Major deals included Disney / Capital Cities ABC, Hostile Defense of US Shoe Corporation, Sony / Columbia (represented Guber Peters Entertainment Co), AIG / International Lease Finance and Restructuring of world's largest air finance company, GPA Group plc.
