Introduced and recommended to Frontier by Shipman & Goodwin, with the understanding that it would be temporary, to alleviate resource shortage in Frontier’s Law Department occasioned by its pursuit of a major transaction.

Responsible for broad range of corporate work, including stock plan matters and executive compensation, commercial finance, SEC and NYSE matters (including proxy and annual meeting and public reporting), M&A, commercial licensing, corporate governance/corporate secretarial, and commercial contracts for multinational, publicly-traded consumer products company based in NYC, that manufactured, marketed and sold an array of beauty and personal care products under various recognized brands, in the retail and professional channels. Recipient of employee recognition award for noted transactional contributions. Provided responsive, accurate and efficient counsel to support the company in a highly leveraged and visible environment; demonstrated ability to effectively handle an intense, sophisticated and fast moving in-house practice.

Served as “outside” General Counsel for Florida-based telecommunications company, at request of its private equity backer, handling legal matters and serving as advisor to chief executive officer. Took on role with understanding that it would be transitional, pending commencement of new in-house job in NYC-metro area.

Responsible for legal, regulatory, HR and facilities management affairs for publicly-traded, Connecticut-based national provider of telecommunications services to businesses, including high-speed data services and voice-over-Internet protocol, or VoIP. Joined this entrepreneurial telecom following its initial public offerings, and quickly assimilated into a management role, earning several promotions, and, as part of a dedicated management team, helped guide its evolution from growth cycle through “going private” merger that ceased its legal existence in 2007. Worked as a member of executive team to develop and implement corporate strategy; served as legal advisor to management and the Board of Directors, including guiding the company as a distressed entity through its pursuit of strategic and financing alternatives; responsible for the company’s Legal, Regulatory, HR and Procurement and Facilities departments, including the company’s private debt, equity and lease financings (including structuring and negotiating complex financings to achieve corporate goals and Board’s fulfillment of its fiduciary duties); SEC filings and securities laws compliance; disclosure matters; mergers and acquisitions; strategic partnerships; commercial contracts; sales and marketing materials; litigation management and lawsuit avoidance; corporate governance and establishment of corporate controls (relating to the Sarbanes-Oxley Act); employment matters, including equity compensation and benefit plans and multiple workforce restructurings; telecommunications regulatory matters; and intellectual property matters.
