• Conducted legal research on banking & securities regulations and tax treatment. • Proposed various business strategies and analyzed their respective legal risks under Chinese law. • Drafted answers to clients’ questions regarding deal structuring and compliance issues. • Drafted legal opinions on regulations in foreign direct investments in China, including exchange control regulations, licensing requirements and environmental regulations for certain industries. • Prepared reports on legal risks of financial transactions and assisted with due diligence for IPOs, M&As.

• Provided research for various amicus briefs concerning the Americans with Disabilities Act and related state law claims. • Researched whether the change of a regulatory agency’s position on interpretive guidance complies with the Administrative Procedure Act. • Updated regulatory guidance given by the National Credit Union Administration (NCUA) regarding the exam appeal procedures and assisted in posting NAFCU’s Advertisement Guidance on its official website. • Tracked changes between the final rule and the proposed rule of Regulation CC set forth by the Federal Reserve. • Assisted in answering clients’ questions on expeditious return rules under Regulation CC.

• Proposed changes to KBRA’s internal policies, procedures and external website to comply with regulations. • Reviewed and suggested changes to subscriptions and non-disclosure agreements in order to clarify the rights and obligations of parties and reduce the risks of potential disputes. • Researched registration requirements for establishing a credit rating agency abroad under foreign law. • Conducted background research and composed a memo regarding parties’ disclosure obligations for bond issuance. • Analyzed and drafted legal opinions on the potential risks of KBRA’s daily operations.
