• Advise technology companies through their entire life cycle, from emerging to growth stage and exit/IPO. Responsibilities includes leading legal due diligence and transaction execution; advise clients on legal risks; maintain legal compliance including corporation government and employment matters; drafting, reviewing and negotiating deal agreements, NDAs, vendor agreements, etc. Notable representations include: (i) a $300 million vertical acquisition deal between a logistic and a supplier, (ii) the VC arm of a major insurance company in multiple early-stage investments, (iii) a horizontal acquisition between two fintech companies. • Member of ESG/Impact investment group and Climate tech group.

CORPORATE, M&A and PRIVATE EQUITY • Represent GIC in multiple pre-IPO tranches that total USD 1.3 billions investment into Vinhomes • Represent a major SOE in Vietnam in a multi-billion dollars asset acquisition from a foreign petroleum company • Advise a major real estate developer in Vietnam in a USD 300 millions in a hostile takeover against a global PE; specifically in a debt restructuring, IPO planning and a potential derivative suit • Advise a major conglomerate in the acquisition of the shares and assets of a Canadian petroleum company • Advise Jeju Air and draft the pre-merger filing notice in Vietnam for the Eaststar Jet - Jeju Air merger, the post-merger entity will become the third largest airline in South Korea • Advise a major NYSE-listed commodity trading corporation in their acquisition of a pharmaceutical manufacturer in Vietnam; advise and draft the pre-merger filing notice in Vietnam • Represent a foreign investor in a $3 million asset acquisition transaction in Vietnam • Advise a major American manufacturer in their acquisition of a American chemical manufacturer with subsidiaries in Vietnam • Advise a global private equity fund in their Series D investment in a major fintech company in Vietnam • Advise a global private equity fund in their Series E investment in a logistic company in Vietnam DISPUTE RESOLUTION • Represent the Government of Vietnam and PVN in several multi-billion dollars investment treaty arbitration and commercial arbitration • Represent a major SOE in Vietnam against a major Malaysian SOE in a USD 400 millions SIAC dispute • Represent the biggest SOE in Vietnam in a USD 400 millions shareholder dispute in West Africa • Represent Grab in a high-profile litigation in Vietnam; the matter was awarded the 2019 Benchmark Litigation Asia-Pacific Regional Matter of the Year Award for this litigation. • Represent a major accounting firm in a dispute against a foreign manufacturing company
