• Manage all aspects of equity compensation administration including grants, vests, forfeitures and accelerations • Ensure equity awards are administered in accordance with the terms and conditions of the agreements, governing equity plans, and internal processes • Collaborate with internal departments (accounting, payroll, tax, legal, etc.) and third party stock plan administrators (Bank of American Merrill Lynch) to help implement and administer third party software • Ensure control procedures associated with stock plan administration are being followed • Prepare reporting for all aspects of global stock-based compensation accounting including amortization, forecasting, and footnote disclosure • Complete monthly reconciliations to ensure equity data is correct in third party systems • Managed implementation of a spin company, providing data to third party administrator and reconciling all data prior to the new company going live

• Ensure accurate/consistent processing of grants, lapses, exercises, distributions and dividend equivalent payments including full process documentation and transaction record-keeping • Process terminations including implementing proper treatment of vested and unvested equity upon termination and preparing termination statements • Perform routine audits to ensure that all employee stock data is accurate and processed timely and correctly • Assist in the implementation of Oracle Fusion for global equity allocation process; provide ongoing administration of the allocation process • Maintain all plan documents including grant agreements and company policies • Prepare materials for executive management meetings • Ensure full compliance: • Assist with statutory tax reporting and withholding requirements for equity compensation transactions in all relevant countries • Ensure compliance with state, federal and international regulations and securities laws • Comply fully with Sarbanes-Oxley regulations
