Responsibilities: • Advised the board of directors and senior management on commercial real estate transactions, corporate formations, business structures, asset acquisitions, regulatory compliance, and employment law matters. Supervised outside counsel and assisted in responses to consumer complaints and inquiries from regulators. • Selected, managed, and consulted with outside counsel. Key Contributions: • Solely negotiated and drafted a large volume of contracts, including American Institute of Architects contract documents, asset purchase agreements, business associate agreements, employment contracts, independent contractor and consultant agreements, letters of intent, master services agreements, non-disclosure agreements, SaaS agreements, IT support services agreements, SEO and PPC service agreements, subordination and non-disturbance agreements, terms and conditions, and real estate leases. • Spearheaded ~300% growth in the number of dental practices by negotiating 30+ long-term, triple net leases. • Acquired the assets of 3 dental practices totaling ~$4 million with the assistance of outside counsel. • Improved the legal review process of marketing programs, advertising materials, sales promotions, and website and social media content to ensure compliance with FTC regulations, truth-in-advertising principles, and state laws. • Ensured compliance with the prohibition on the corporate practice of dentistry, HIPAA, the HITECH Act, Stark Law, and the Anti-Kickback Statute by creating policies and procedures and providing advice to managers. • Streamlined procedure to resolve timely consumer complaints filed with the Florida Attorney General. Represented government-sponsored enterprises, financial institutions, mortgage servicers, banks, and credit unions in debt enforcement proceedings, consumer credit litigation, and residential foreclosure actions. Prepared pleadings, motions, and memoranda of law, conducted legal research, investigated facts, propounded and answered discovery requests, advocated in mediation conferences, and negotiated settlements, including loan modifications, deed-in-lieu of foreclosure, and short payoffs. • Title Issues. Reviewed and analyzed title search reports and title commitments for clouds on title to real property in foreclosure; filed title claims with underwriters to obtain payment or indemnification and prepared curative documents.

Founded the legal department of a startup company launched by a Dutch venture capital firm that managed a $500 million investment project focused on developing a chain of small-format, retail grocery stores in Florida. Responsibilities: • Advised the board of directors and senior management on business and legal issues related to real estate transactions, the formation of legal entities, and regulatory compliance. • Selected, managed, and consulted with outside counsel to resolve civil lawsuits and consumer complaints, to respond to inquiries from state regulators, and to seek advice on employment, immigration, and intellectual property law matters. Key Contributions: • Accelerated the company’s expansion by hiring, training, and managing a team of 5 attorneys and 3 paralegals at offices in Miami and Tampa that closed 40+ commercial real estate leases within 1 year. • Negotiated and drafted letters of intent, letters of credit, real estate leases, and construction agreements. • Lead attorney in 25+ commercial real estate lease transactions, including the lease for the company’s 8,600+ square feet corporate headquarters. • Created the company’s standard lease agreement form. • Implemented comparative advertising campaign and ensured company-issued coupons, point-of-sale materials, and print advertising content complied with the Lanham Act and FTC regulations. Selected by the managing partner of the Creditors’ Rights Department and another equity partner as 1 of 5 attorneys to launch the Residential Foreclosure Practice Group that represents government-sponsored enterprises, financial institutions, mortgage servicers, banks, and credit unions in residential mortgage foreclosure actions. Key Contributions: • Managed caseload of ~600 matters statewide on residential loans up to $1 million. Court appearances 3 days per week for Uniform Motion Calendar hearings. Sole counsel in 25+ bench trials. • Achieved satisfaction of a $1 million bail bond that encumbered the real property on which a client was foreclosing a residential mortgage by filing a title claim with the underwriter. • Created form pleadings, motions, and papers utilized by the Group’s attorneys and staff.

Represented mortgage servicers and banks in residential mortgage foreclosure actions while managing one paralegal.
