Transactional Associate representing talent, including actors, writers, directors, producers and production companies, with a particular emphasis on unscripted television.

Handled a variety of transactional matters within the Entertainment, Technology and Advertising Group. Counseled clients, including motion picture studios and production companies, through various aspects of entertainment transactions involving motion picture finance, development, production and distribution. Assisted client in drafting foundational documents for the creation of a professional U.S. rugby sevens league to launch in 2016; advised client on various corporate matters pertaining to the formation and construction of entities under Delaware law. Represented live events such as the Olympic Games, which included projects for the Rio 2016 Olympic Committee; consulted key members on the bid committee for the City of Tokyo related to their efforts to obtain the 2020 Olympic Games. Advised brands and individuals on brand development and negotiated/drafted various sponsorship and endorsement deals. Represented a foreign film distribution company from Hong Kong in arbitration in connection with a breach of contract claim against a domestic motion picture production company and obtained a successful result on behalf of our client. Assisted in handling entertainment industry labor law matters including residuals, credits disputes and union organizing before the National Labor Relations Board; advised clients on various labor issues surrounding the SAG-AFTRA Basic Agreement for theatrical and television projects.

Assisted attorneys within the Entertainment Practice Group in various areas pertaining to motion picture and television development, production and distribution. Aided clients with entity formation, dissolution and all other issues and disputes as it pertained to specific projects; formed various entities based on clients' current and future goals and objectives; handled issues related to limitation of liability, taxation, and management. Maintained and developed proper documentation, such as specifically outlining partner or key management responsibilities, drafting general corporate governance documentations such as LLC agreements, corporate bylaws, shareholder and membership agreements.

Assisted the Entertainment Practice Group in various areas pertaining to motion picture and television development, production and distribution.

Assisted in the signing and closing mechanics for transactions, including merger sub formation, prepared and filed merger documents and created and distributed closing volumes. Drafted corporate actions and various transaction related agreements as it pertained to venture capital financings and mergers and acquisitions.

Assisted in the Business/Corporate Group in an assortment of high profile and high stakes transactions. Coordinated closings of venture capital financings, public offerings, mergers and acquisitions, and other corporate transactions. Drafted board and shareholder resolutions and other ancillary documents; organized due diligence materials and worked with virtual data rooms; prepared and distributed closing volumes. Assisted with entity formation, including reserving corporate names and preparing drafts of corporate organizational documents; assisted with ongoing operations of corporations and corporate records maintenance; prepared foreign qualifications, withdrawals and dissolutions. Prepared stock option agreements and stock certificates; maintained stock ledgers and capitalization tables. Corresponded with various service companies and governmental agencies, including the SEC, Secretaries of State and Department of Corporations to file and retrieve documents.

While at Loyola, I participated in Moot Court, Entertainment Law Review (ELR) and the Entertainment and Sports Law Society (ESLS): As Chief Justice of the Scott Moot Court Honors Board, I oversaw day-to-day operations and communicated with board members in creating the moot court competition materials/prompt for the following year as well as overseeing the argument components of the competition. As Senior Articles & Symposia Editor on ELR, I was responsible for reviewing outside works for publication in our journal and also helped lead a symposium centered around the paparazzi laws in California (including past and present laws and what the future has in store). As Vice President of ESLS, I handled all sports-related functions, including obtaining event speakers and helping create a sports law symposium on breaking in to sports industry that included various sports executives/general counsel of different professional teams and other organizations (e.g. AEG, LA Dodgers, & Pac-12).
