Advise clients domestically and internationally on a wide range of matters, including structuring, negotiating and drafting a variety of general and specialized agreements necessary for the day-to-day operations of a cutting-edge global science and technology non-profit organization; issues range from commercial legal advice to preservation of the non-profit status of the organization. Provide legal counsel and manage lifecycle of agreements include licensing, electronic publishing, IT, and consulting agreements, as well as related commercial agreements relevant to a dynamic business environment. Provide advice and counsel, negotiates, and drafts both domestic and international commercial, business and operational contracts. Use and modify standard forms and templates from a robust internal forms library in the marketing, publishing, education, technical conference and membership operations of the organization. Develop and incorporate the implementation of new technology solutions (such as, but not limited to, contract management systems). Provide training on issues relating to commercial law, contract formation and other legal subjects. Provide general legal advice to various departments within the organization. Collaborate on additional legal projects of interest.
