After the consolidation of BM&FBOVESPA and Cetip’s activities which led to an increased legal demand from the company, I kept my position as Head of Contracts, IP and innovation and aggregated the Legal Projects’ activities. o Manage the portfolio of projects which demand legal engagement and lead the coordination between different legal teams within the board and other departments such as products and operations. Legal representative on internal committees for projects and partnerships; o Manage a multidisciplinary team of around 8 lawyers focused on partnerships, negotiation, contracts, innovation, intellectual property and antitrust issues; o Legal consultancy to the Executive Board and C-Level; o Active participation on the negotiation and commercial, operational and M&A partnerships of B3, both in Brazil and abroad, developing its legal framework; o Local and international debt issuance; o Foster innovation from the legal standpoint; o Legal management of a contract’s full life-cycle, contracts and IP advise on strategic partnerships (also with the public sector), international services, technology transactions, MOUs and others; o Manage the services provided by external legal offices both in Brazil and abroad.

Diversified my focus from Legal Tax Affairs to Products in order to meet the challenges the company was facing as a resulting from the merger between BM&FBOVESPA and Cetip. o Develop the new organizational structure and business model of the department; o Manage a multidisciplinary team of around 12 lawyers focused on Products and Services (regulated and non-regulated), Data Protection, Innovation, Intellectual Property and Contracts; o Legal consultancy to the Executive Board and C-Level; o Define the legal guidelines to support B3 products o Foster innovation from the legal standpoint, evaluating risks in new products and services, connecting with start-ups and discussing the legal basis of the new technologies, mainly for the capital markets (i.e. blockchain, ICOs, cryptocurrencies); o Legal management of a contract’s full life-cycle, contracts and IP advise on strategic partnerships (also with the public sector), international services, technology transactions, MOUs and others; o Manage the services provided by external legal offices both in Brazil and abroad.

Besides my role as Head of Tax, incorporated the Contracts and IP division and, from 2011 to 2013, was the Head of Legal Post Trade Regulation (CCP, CSD and OTC). From 2016 onwards led the legal initiatives for BM&FBOVESPA and Cetip’s merger. o Advising the executive board and later the integration managing office (IMO) and consulting firms, on the strategic and legal aspects of the BM&FBOVESPA and Cetip merger. Managing the external legal offices, Due Diligence process, internal task force and execution of operational activities. Developing gun jumping and antitrust polices and compliance. o Legal management of Tax Affairs, leading a team of 5 lawyers on initiatives o Legal management of a contract’s full life-cycle and IP advice in strategic partnerships, international services, technology transactions, MOUs and others o Legal management of Financial and Capital Markets regulatory issues

Due to my experience with Capital Markets regulation and the knowledge acquired along the past 4 years in exchange and clearing environments, I became responsible for building and leading the tax legal department. o Managing a team of 4 lawyers; o Development of activities focused on capital markets taxation and corporate tax; o Dealing with legal, regulatory and tax issues arising from the merger of BM&F and BOVESPA (i.e. governance guidelines, corporate organization of the economic group, creation of stock option plans and tax accounting); o Defending BM&FBOVESPA’s best interests in obtaining improvements of municipal tax rules; o Advising the financial department on adjustments of the company’s accounting standards to IFRS; o Advising the executive board in strategic and tax aspects of corporate and services partnerships (cross ownership, global partnership and technology agreements with CME and Strategic Partnership with NASDAQ).

Started my career as a lawyer at BM&F after 2 years of internship (BM&F and Demarest & Almeida Advogados). Two years after, I actively participated on BM&F’s demutualization process followed by its IPO, and later the merger with BOVESPA. o Regarding BM&F transactions: preparing prospects and legal documents (investment agreements, bylaws and Board minutes), overseeing due diligence process, coordinating the external legal offices and advising in corporate, regulatory and judicial procedures; o Advising BM&F’s corporate, operational and product departments, as well as participants and clients, on legal matters (consultancy on regulatory, corporate, contracts, IP, tax and administrative tasks, and conducting judicial and administrative lawsuits).
