Head of legal at plant division (담당자) - responsible for day-to-day new and existing legal queries for both contentious and non-contentious matters in conjunction with onshore GCC projects in Saudi Arabia, Kuwait, UAE, Qatar, and Bahrain and Africa. - Drafting agreements like EPC, O&M, supply of goods and services, novations, and settlements, and performing transactional work. - Negotiating with clients and subcontractors/suppliers on the interpretation of terms and conditions of project documents and new agreements. - Drafting legal memos on various matters arising from all projects and drafting letters to clients and subcontractors/suppliers with regards to claims. Managing outside counsel with regards to claims. Providing legal advice, negotiating terms and conditions with clients and subcontractors, drafting letters, reviewing and amending supply of goods and services agreements with clients and subcontractors/suppliers for the shipbuilding and offshore divisions.

Advising on the US $20 billion construction of four nuclear-powered units and associated facilities • In addition to the items below, responsible for overseeing contract management between KEPCO and Owner and KEPCO and its subcontractors.

Advising on the US $20 billion construction of four nuclear-powered units: • Contract and Commercial - Negotiating with Owner and subcontractors on their contracts and applicable law (IAEA, UAE, Korea, England and Wales, and the United States), drafting minutes and commercial agreements; o Drafting service contracts, BOP supply contracts, terms and conditions, tender bids, and confidentiality agreements; o Drafting memoranda and official letters and meeting with various Abu Dhabi government ministries; • Materials Management - Drafting insurance and shipping (INCO 2000) documents and advising on claims and procedures; • Marine - Negotiating with subcontractors on breakwater, dredging, cofferdam, and wharf subcontracting work, and advising quantity survey teams; • Mechanical and Electrical - Negotiating with Owner and BOP suppliers, advising on claims, termination, design specification requirements, and applicable code-case exceptions on safety and commercial-grade items; • Operations - Advising and negotiating with Owner on licensing documents; • Const. Management - Advising on claims related to stop work orders, defects, and force majeure events; • Infrastructure - Advising on contractual interpretation, permits, and other codes and standards; • Security - Advising on storage of IIS, local government regulations on site access and security, and international and contractual legal requirements for care, custody, and control of the site; • HSE - Negotiating with Owner and advising on Abu Dhabi EHSMS in tandem with contractual obligations and local law, drafting emergency and administrative service medical agreements, advising on fire safety and environmental requirements, and advising on HSE procedures; • Administrative - Drafting employment agreements, advising on labor relations for local and foreign staff, HR policies, and representing KEPCO before governmental bodies; • QS and QA - Advising on the QA manual and supporting interactions with the local regulator.

Principal areas of work: General practice in corporate, non-profits, labor, administrative, and criminal law representing government entities and individual clients.

Diverse energy practice addressing multiple stages of projects, corporate, and banking • Represented a foreign consortium during tender to construct two 600 MW coal-fired plants in Vietnam through drafting of project documentation (BOT contract, construction agreement, operations agreement, water supply agreement, loan agreement, etc.); • Represented a Japanese energy company on the joint venture development of a LPG facility in Vietnam through the process of creating a joint venture, procurement of capital, land use rights, and domestic and international law obligations; • Represented a Canadian energy company in an oil and gas transportation agreement. Work included representing client before Vietnamese authorities by drafting letters and memoranda explaining feasibility of the project and aiding negotiations with subcontractors; • Represented a Korean construction corporation by advising on procurement of onshore and offshore financing, restructuring, and refinancing for mixed-use properties; • Represented a real estate developer in a joint venture deal with Vietnamese investors to develop and sell 5-star resort villas in Danang and Con Dao, Vietnam. Work included advising on developing corporate structure to address Vietnam’s foreign ownership restrictions, and drafting and negotiating the internal rules, management and maintenance agreement, sale and purchase agreement, long term lease agreement, and the share sale agreement; • Represented an English bank with its general operations in Vietnam. Work included drafting of loan and financing documentation and advising on developing an insurance branch; • Represented a large industrial chemical company on compliance with international and Vietnamese environmental regulations; • Represented a UK advertising company with its operations in Vietnam, Cambodia, and Singapore. Work included drafting joint venture agreements, sale and purchase agreements, shareholder agreements, and advisory memos;
