Supports the organization worldwide (Canada, USA, Germany, China) in the formulation, drafting, negotiation and review of contracts, clauses, and amendments, including Requests for Proposals (RFPs) and Proposals received or submitted by CSA Group, in consultation with the applicable CSA Group functional units and any legal counsel (internal, external or retained), as well as contributing to approvals and close-out of all contracts and like agreements entered into by CSA Group, to help with (non-exhaustive): Effectively addressing the business needs Compliance with regulatory and corporate requirements Effective management of legal and business risks Protection of CSA Group intellectual property Reviews contracts for adequacy, appropriateness and completeness in terms of indemnity, liability, confidentiality, intellectual property protection, deliverables, payment terms, regulatory compliance, and any other applicable issues that may pose legal or business risk for CSA Group, to help ensure the contracts are in compliance with CSA Group policies and practice. Ensures timely contracts review to meet the needs of the business units. Assists in identifying other areas or functional units (i.e. IT, Purchasing, Marketing) that have a material interest in the contract, or whose involvement is required to adequately assess and mitigate the risks identified in accordance with CSA Group policies. Participates in the review, development and implementation of corporate policies and procedures as necessary to effectively manage risk. In collaboration with CSA Group Legal Counsel, develops, modifies, and evaluates template contracts and other tools designed to standardize and simplify the contracting process. Develops and delivers training for the business units.

• Responsible to provide legal counsel to supply chain team (purchasing team) in the analysis and negotiation of a diverse portfolio of contracts (Brazil and Europe), such as: Service Agreements, Supply of equipment, Construction Agreements, NDA, MOU, among others.Draft, review and finalize agreements with national and international suppliers. Focus in the interests of the company minimizing risks and interacting with internal stakeholders as required. • Management of minute books and corporate database. • Preparation of meeting materials, presentations and meeting minutes. • Management of all company´s trademarks, industrial designs and patents portfolio. • Legal opinion on corporate matters, such as, Data Protection (GDPR), e-discovery, brand protection. • Participate in the implementation of a Contract Management System (ELAW). • Monitor and report on compliance of purchase and contract management by reviewing the processes and supporting documentation according to the legislation and company policies. • Management of Judicial and Administrative Intellectual Property matters, such as, Trademarks, Patents, Industrial Design and Border Measures.

• Responsible to provide legal advice to Transportation Companies involved in POA matters. • Negotiation of resolutions between the Crown and clients. • Draft and review of motions, notices of appeal, reopenings, factums, affidavits and reporting letters. • Court appearances. • Management of files.
