As a legal assistant, I provide support for the whole team in company public and private finance, including registered public offerings, shelf take downs, initial public offerings (IPOs), and PIPE. One of my main duties in this role has been to conduct due diligence for over 20 companies from all around the world including Canada, UK, Israel, Australia, China, Singapore. My work involves meticulous research and review of legal documents, financial records, and other pertinent information to ensure compliance with relevant SEC laws and regulations. Additionally, I have drafted F1/S1 documents for two technology company, which involved compiling complex company information into DRS. I have also been responsible for preparing materials for listed company's annual meetings and attending project weekly calls with clients to ensure efficient collaboration.

Participate in three equity projects. participate in the equity incentive compensation of a foreign agricultural Co., Ltd in Hainan, and a Software Technology Co., Ltd in Chengdu. complete an equity structure design project in Yibin, including due diligence, plan writing, documents writing, presentation and signing , etc. Legal Counsel of more than 10 enterprises. More than 40 contracts are reviewed and drafted (including but not limited to Investment Agreement, Consignment Sales Agreement, Distribution Contract, etc.).The clients include Biotechnology company, wine trade company, Xinjiang Outdoor sports company, etc., winning the consistent praise. Familiar with online collaborative work.Skilled with the team's online synergies (Tower), Feishu, Skype, etc. Compliance with document management system, Information and knowledge management system (SOP).

File the intellectual property certificate, board resolution, government receipt and other documents (up to 500); Review necessary documents of the newly established company (application form, licenses of company senior executives, organization chart, etc.) Draft the letter of authorization and reminder letter ,the Sewage Treatment agreement of Jiashan Zhejiang brewery, legal opinions on consumer complaints, and made the organizational chart of the newly established company.
