- Managing legal department for the group (5 lawyers in France, Germany and Japan) - Defining and implementing legal strategy and priorities for the department - Managing M&A topics - Defining the legal compliance program and implementing actions - Supervising key topics for corporate and business aspects

- Supervising legal and compliance teams in Middle East (5 general counsels and 4 compliance officers) - Set up of the group Compliance program (integrity line, donations, sponsorship, communication, anti bribery and corruption training) - Review and validation of preliminary third parties due diligence - Interface for the whole sub region of all compliance questions

Wide geographical scope (more than 30 countries in Middle East and Africa including OHADA countries) Direct management : 1 intern - Legal support to the 19 country general counsels - Management of strategic matters in the region (M&A, partnerships, material litigation and contracts) - Set up of new businesses in new countries (creation of SPVs, investment contracts, leases) in coordination with operational teams - Coordination of corporate topics with the group (intercompany agreements...) together with the other corporate functions (including tax) - Management of all legal topics in countries with no local legal team - Close work with MEA compliance team

Extension of geographical perimeter and focus on M&A (in addition to previous missions): - M&A (2 major international acquisitions in 2013 and 2014): due diligence, offers, SPAs - Competition law: preparation of filings before national competition authorities, assessment of antitrust issues - Dispute resolution: management of major claims and coordination with local counsels

Legal advice, draft and negotiation of various agreements : - Corporate: NDAs, MOUs, term sheets, bylaws, shareholders' agreements, legal secretary (board and shareholders' meetings), creation of subsidiaries - International contracts: concession/lease agreements - Tenders: analysis of RFPs, bid bonds and performance bonds - Commercial: STCs, commercial offers, services agreements - Dispute resolution: affidavits and arguments, settlement agreements - Financing: capital increase, loan agreements and guarantees - Legal proceedings: signature rules, background checks - Intellectual property: licence and software agreements - Labour law: employment agreements, dismissal proceedings

- Renewable energy projects: Draft and negotiation of NDAs, Engineering Procurement & Cooperation Agreements (EPC), Operation & Maintenance Agreements (O&M), Fuel Supply Agreements (FSA), Power Purchase Agreements (PPA), Services Agreements. - Corporate: Creation of SPVs, legal secretary. - Clinical projects: Draft of preclinical and clinical agreements, IP matters.

- Pre contractual agreements: draft of NDA, LOI, MOU - Operational agreements: draft of licence agreements, supply agreements and distribution agreements

- Corporate law : creation of subsidiaries, full legal secretary for 20 French companies (boards and general meetings, draft of resolutions and minutes) - Financial law: drafted and negotiated loan agreements, worked on the renewal of PSA EMTN program
