It offers, SaaS, call center (customer care, sales & back office), omnichannel, imaging/scanning, HRO and over a dozen other back-office B2B business processes. • Global responsibility for privacy, including GDPR, CCPA, GLBA & HIPAA • Global Head for Intellectual Property, with responsibility for major patent litigation and enforcement. • Global responsibility for regulatory compliance, including interfacing with senior regulators. • Serve as a trusted legal advisor to the executive team and board of directors. Advise the board of directors on all matters related to compliance, privacy, risk & cybersecurity. • Active member of the senior management team and involved in all major business decisions. • Key member of the M&A team. • Extensive experience in a variety of global transactions including service and vendor agreements, banking transactions, IT and IP agreements: Select and interface with international, outside counsel. • Key advisor to HR and ethics teams. • Managed the commercial litigation portfolio including selection and management of outside counsel. • Led and managed commercial law dept (20 lawyers plus staff) and associated budget considerations. • Supervised cross-functional cyber security, risk and investigation teams.

• Manage a dynamic, legal team of that serves as the central point of contact for the company’s stakeholders (Operations, Product Management, Engineering, IT, Finance, Sales, Marketing, HR, etc.) • Serve as a trusted legal advisor to the executive team and Board to help manage a broad range of corporate matters by providing practical guidance on day-to-day legal concerns. • Supervise cross-functional Cybersecurity, InfoSec, Enterprise Risk and Investigation teams. • Extensive transactional experience, providing legal advice for global, high-volume technology deals. • Advise the Board of Directors quarterly on matters related to Compliance, Privacy, Risk & Cybersecurity. • Global perspective with the ability to do business across different geographies, cultures, and legal systems through a network of international attorneys. • Key member of the M&A team, supporting analysis and due diligence of acquisitions and divestitures. • Oversee the identification and analysis of transaction-specific business and legal risks and development of strategies with the business teams to mitigate those risks. • Supervise and participate in the review, assessment and response to RFP’s. • Lead the risk assessment and policy development for new service offerings (including interfacing with regulators). • Manage budget and legal workflow, including supervision of outside counsel. • Development of a regulatory and compliance framework to ensure compliance with state/federal data privacy and regulatory mandates such as FCPA, CCPA, GDPR, UK Bribery, Act, anti-bribery/corruption, PCI, GLBA, etc. • Global oversight of litigation and dispute resolution, including management of inhouse and outside counsel. • Key advisor to HR with matters involving employee relations and disputes. • Protection and enforcement of the company’s IP rights. • Development of polices to support operations, sales and product development.
