Formation and representation of private investment partnerships and offshore investment vehicles (hedge funds and private equity funds). Registration of investment advisers and related regulatory compliance. Negotiation of administration agreements, managed account agreements, joint venture agreements, side letter agreements and other service provider agreements, and of settlements relating to Section 16 short-swing profit liability under the Securities Exchange Act of 1934. Liaise with offshore counsel on domestic and offshore private investment vehicles and managed accounts. Review private investment fund offering documentation, subscription documentation and marketing materials for private investment vehicles for investment suitability and securities law compliance.

Assist with various legal matters related to the formation, structuring and operation of private investment fund vehicles and other alternative investment products, including drafting of related contracts and other documents and regulatory filings. Negotiate "side letter" terms with prospective investors. Liaise with internal stakeholders and other groups as necessary.
