Legal - Contracts / Agreements To review, draft various Contracts / Agreements / documents relating to the business of the Company - Software License Agreement, Professional Services Agreement, Service Level Agreement, Annual Maintenance Agreement, Teaming Agreement, Business Partner Agreement, Non-Disclosure & Confidentiality Agreement, Consortium Agreements, Hosted Services Agreement, Vendor Agreements, etc.; To review of RFPs / Tenders / EOI / PO and advise the management / pre-sales / sales team on legal clauses regarding go / no-go; To negotiate contracts / agreements with clients / customers / vendors - over conference call and to mutually close the contracts on timely manner in the best interest of the Company. Company Secretarial : To look after all company secretarial compliances. To assist the company secretary while conducting a secretarial audit.

Working dedicatedly for IT dept. of bank and looking after their all non-litigation requirements. Vetting, drafting and negotiation of various IT agreements such as: Master service agreements, master software agreements, non-disclosureagreements, consultancy agreements, hardware agreements,supplemental agreement. Handling end to end contract life cycle management. Co-ordinate with internal stakeholder and highlighting risk while negotiation standard or Vendor template. Preparing various notices, re-ply to notices,Risk note. Legal Research with regards to changes in the statute/Regulation. To create playbooks for new business requirements. Anticipate and identify legal issues that concern the organization anddevelop legal strategies and solutions, to mitigate exposure to the bank. Handling record management. MIS report.
