Within this experience, I was focused mainly on Corporate and M&A matters, being involved in numerous transactions and due diligence processes. - Assisting clients in various M&A transactions throughout legal due diligence processes and drafting and negotiating transaction documents: o due diligence process: drafting Q&A lists, due diligence reports, review and analysis of due diligence documents; o transaction documents: drafting main transaction and investment documents both sell and buy side such as shares sale-purchase agreements, convertible loan agreements, shareholders agreements; drafting ancillary transaction documents such as corporate approvals, GMS resolutions, updated articles of association, UBO statements etc.; - Assisting clients in other day-to-day activities: o corporate matters: - incorporation of companies and branches; - appointing and dismissing directors, setting-up internal delegation and duties procedures; - increasing share capital, including with share premium, and decreasing of share capital; - changing the name, changing the headquarters from other county or within same county, setting-up working points; - simultaneous dissolution and liquidation of companies; - approval of annual financial statements; - various amendments of the articles of association; o business transfer agreements: drafting comprehensive business transfer agreements and related transaction documents such as corporate approvals, various statements and notices regarding the transferred employees, fiscal statements etc.; o providing legal opinions: drafting memoranda and legal opinions on various topics such as the possibilities to terminate certain agreements, the necessity to obtain certain permits for the business carried out by companies, recapitalisation of companies, coverage of accounting losses etc. In addition, within this position, I would also coordonate small projects and manage the junior associates in performance of the daily activities of the firm.

- Corporate Law: drafting various corporate documents for our clients such as articles of association, resolutions of the corporate bodies; assisting clients with registration formalities with the Romanian Trade Registry; performing due diligence exercises; - Environment practice – assisted clients with the issuance, as well as with the transfer of the environmental permit (analysis and legal opinion regarding the necessity to obtain the environmental permit in connection with certain NACE codes); drafting letters and representation before public authorities; - Public procurement practice – assisted clients within tender procedures regulated by both Public Procurement Law no. 98/2016 and Sectorial Procurement Law no. 99/2016, support in filling-in required documentation, assistance with drafting clarification requests and responses to the public authorities’ requests, research and legal opinion on the performance of the public procurement contracts; - Employment law practice – assisted clients in various labour matters such as reviewing and drafting internal regulations, drafting dismissal decisions; drafting defences and necessary documents in labour litigations in which clients were involved. In addition, within this position, I would also coordonate small projects, such as applications with the Romanian Trade Registry for clients, and I would manage the junior associates in performance of the daily activities of the firm.

I started my career as a lawyer tackling various areas of the law and having multiple responsibilities, such as: - Corporate Law: drafting various corporate documents for our clients such as articles of association, resolutions of the corporate bodies; assisting clients with registration formalities with the Romanian Trade Registry; performing due diligence exercises; - Civil and Commercial Law: drafting and reviewing contracts such as lease agreements, services agreements, sale-purchase agreements; assistance and negotiation of agreements on behalf of clients including in M&A transactions; - Public Procurement Law: assisting clients with preparation of necessary documentation for participation to public tenders; operating SEAP platform on behalf of clients; assistance in day-to-day execution of public procurement agreements; preparation of memos on various topics related to public procurement law; - Energy Law: performing due diligence exercises on target companies involved in the energy sector; day-to-day assistance of clients in energy legal related matters such as obtaining various permits, licenses and authorisations; correspondence and interaction with competent authorities on behalf of clients.
